Suparse Terms of Service

Welcome to Suparse!

These Terms of Service ("Terms") govern your use of the website, products, and services (collectively, the "Service") provided by Suparse ("Suparse", "we", "our", or "us").

By creating an account, subscribing to our Service, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE THE SERVICE.

1. Definitions

  • "User" or "You" means the individual or legal entity registering for or using the Service.
  • "User Data" means all documents, data, and information uploaded, submitted, or created by a User through the Service, including source files and the structured data extracted from them.
  • "Paddle" means Paddle.com Market Ltd., our third-party merchant of record responsible for processing all payments and subscriptions.
  • "Intellectual Property Rights" means all patents, copyrights, trademarks, trade secrets, and other proprietary rights.

2. The Service

Suparse is a software-as-a-service platform that uses automated data extraction technology to process user-submitted digital documents (invoices, receipts, bank statements) and convert them into structured data formats accessible via its web application and Application Programming Interface (API). This is an automated service and not a manual data entry service.

3. Account Registration and Security

3.1. Registration: To use the Service, you must create an account. You may register using an email and password or through a supported third-party provider (e.g., Google, GitHub). Our authentication services are provided by our sub-processor, Supabase. You agree to provide accurate, current, and complete information during registration.

3.2. User Responsibilities: You are solely responsible for all activities that occur under your account. You agree to keep your password and API keys confidential and secure. You must notify us immediately of any unauthorized use of your account or any other breach of security.

3.3. Age Requirement: The Service is not intended for and may not be used by individuals under the age of 18. You represent that you are at least 18 years old.

4. License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for your internal business operations.

5. User Data

5.1. Ownership: You retain all ownership rights, title, and interest in and to your User Data. We do not claim any ownership over your User Data.

5.2. Limited License to Suparse: You grant Suparse a worldwide, royalty-free license to process, store, and display your User Data solely for the purpose of providing, maintaining, and improving the Service for you.

5.3. No AI Model Training: We will not use your User Data to train our or any third-party artificial intelligence or machine learning models.

6. Data Retention Policy

You may delete User Data from your account at any time. Any User Data not manually deleted by you will be automatically and permanently deleted from our active systems 30 days after it is uploaded. Upon deletion, both the source file (e.g., the PDF) and all data extracted from it are permanently removed. For more details on data handling, please see our Privacy Policy.

7. Acceptable Use

You agree not to use the Service to: a) Upload, process, or transmit any content that is illegal, fraudulent, or harmful; b) Upload or transmit any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware; c) Attempt to gain unauthorized access to our systems, or engage in any activity that disrupts, diminishes the quality of, or interferes with the performance of the Service (e.g., "hacking"); d) Use the Service for any form of unsolicited communication ("spam"); e) Resell, lease, or sublicense the Service or access to it without our express written permission; f) Process special categories of personal data without a legal basis; g) Violate third-party intellectual property; h) Circumvent security measures or usage limits; i) Use the service in life-critical systems.

8. Fees, Subscriptions, and Payments

8.1. Subscriptions: The Service is offered on a recurring subscription basis. You agree to pay the fees associated with your chosen plan in accordance with our pricing.

8.2. Payment Processing: We use Paddle as our third-party merchant of record. By subscribing, you agree to Paddle processing your payment. All payment information is provided directly to Paddle; we do not store your credit card details. As our merchant of record, Paddle handles all billing, payment processing, and sales tax (e.g., VAT) management on our behalf. Your purchase is a transaction with Paddle, governed by Paddle's own terms.

8.3. Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle (monthly or annually) unless you cancel it.

8.4. Cancellation: You may cancel your subscription at any time through your Paddle billing portal. The cancellation will take effect at the end of the current billing period, and you will not be charged for the next period.

9. Free Trial

We offer a one-time allowance of 20 free pages upon signup. These free pages must be used within six (6) months from your signup date. If you purchase a subscription plan, any remaining balance of your free pages will expire immediately.

10. Refund Policy and Consumer Rights

10.1. Business Users: For all business users, all payments are final and non-refundable once the service has been used or your billing period has commenced.

10.2. EU/EEA Consumer Right of Withdrawal: If you are a consumer residing in the European Union or European Economic Area, you have a legal right to withdraw from this contract within 14 days of your initial purchase without giving any reason. If you exercise this right after having used a portion of the service, you will receive a proportional refund. The refund will be calculated as follows: ((Total Credits Purchased - Credits Used) / Total Credits Purchased) * Amount Paid. To exercise this right, you must contact us at support@suparse.com.

11. Termination

11.1. Termination by You: You may terminate these Terms at any time by cancelling your subscription and ceasing to use the Service.

**11.2. Termination or Suspension by Us: We reserve the right to suspend or terminate your access to the Service immediately, without prior notice, where we have reasonable cause to believe that: a) You have failed to pay any fees when due; b) You have breached these Terms; c) You have engaged in illegal or fraudulent activity; d) You have exploited our free tier or promotional offers.

11.3. Effect of Termination: Upon termination, your right to use the Service will immediately cease. We will delete your User Data in accordance with our Data Retention Policy. Clauses that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Suparse and its licensors. Our Intellectual Property Rights are protected by Polish and international copyright, trademark, and other laws.

13. Disclaimer of Warranties

The service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Suparse does not warrant that: a) The service will be uninterrupted, secure, or error-free; b) The results obtained from the service, including all extracted data, will be accurate, complete, or reliable.

The service's data extraction capabilities are automated and may contain errors or inaccuracies. any validation features offered are for guidance only and are not an assurance of accuracy. You are solely responsible for verifying the accuracy and completeness of all extracted data before relying on it for any purpose. Suparse is not responsible for decisions made by the user based on the extracted data.

14. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall suparse, its affiliates, directors, or employees be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, or other intangible losses.

In no event shall suparse's aggregate liability for all claims relating to the service exceed the total amount of fees paid by you to suparse during the twelve (12) months immediately preceding the event giving rise to the claim. This limitation is cumulative and not per incident.

15. Indemnification

You agree to defend, indemnify, and hold harmless Suparse and its employees and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) your violation of these Terms or any applicable law.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict of law provisions.

The parties irrevocably agree that the courts of Warsaw, Poland shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or their subject matter.

17. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

18. Force Majeure

Suparse shall not be liable for any failure or delay in performance of its obligations under these Terms arising out of or caused, directly or indirectly, by circumstances beyond its reasonable control, including, without limitation, acts of God; earthquakes; fires; floods; wars; civil or military disturbances; acts of terrorism; sabotage; epidemics or pandemics; riots; interruptions, loss or malfunctions of utilities, computer (hardware or software) or communication services; accidents; labor disputes; or acts of a governmental authority.

In the event of such a delay, the time for performance shall be extended for a period equal to the time lost by reason of the delay, provided that Suparse takes reasonable steps to notify you of the event and to mitigate its effects. If a Force Majeure event prevents us from providing the Service for a period of more than thirty (30) consecutive days, either party shall have the right to terminate these Terms upon written notice to the other party.

19. General Provisions

19.1. Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Suparse concerning the Service.

19.2. Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in full effect.

19.3. No Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
